The Angel Investment Process Explained

While every angel deal is different, most follow a broadly similar sequence of steps. Understanding this process can help both founders and prospective investors know what to expect and how to prepare.

01

1. Sourcing and First Contact

Angel investors find opportunities through personal networks, startup events, incubators, accelerators, online platforms and referrals from other investors. Founders often reach investors the same way, or through a direct introduction from someone both parties trust. A warm introduction tends to carry more weight than a cold approach, since it signals that someone in the investor's network already has some confidence in the founder.

02

2. The Pitch

Founders usually present a pitch, either in person or as a written document, covering the problem being solved, the proposed solution, the target market, the business model, the team, and the amount of funding being sought. A clear, concise pitch that addresses how the money will be used and what milestones it should achieve is generally more persuasive than one focused only on the product.

03

3. Initial Screening

Investors typically screen opportunities quickly, looking at whether the business fits their areas of interest, the stage of development, and whether the funding ask is realistic. Many potential deals are set aside at this stage simply because they fall outside an investor's focus, not necessarily because of any flaw in the business.

04

4. Due Diligence

If initial interest is confirmed, the investor moves into due diligence: a closer examination of the business before committing funds. This commonly includes reviewing:

  • Financial records and projections
  • Legal structure, contracts and any existing shareholder agreements
  • Intellectual property ownership
  • The background and track record of the founding team
  • Market size and competitive position

Due diligence protects the investor from unforeseen risks and can also surface issues the founders themselves had not fully considered.

05

5. Negotiating Terms

Once an investor decides to proceed, the two sides negotiate the terms of the investment. Key points usually include the valuation of the company, the amount being invested, the type of security used (equity, convertible note or SAFE), any board or voting rights, and protections such as anti dilution clauses or information rights. This stage often involves legal counsel for one or both parties to draft or review the agreement.

06

6. The Term Sheet

A term sheet summarises the agreed terms in a short, non binding document before the full legal agreements are drawn up. It serves as a reference point so both sides are aligned before investing time and legal fees in final documentation.

08

8. Post Investment Involvement

After closing, many angel investors stay involved to varying degrees, from receiving periodic updates to taking an active advisory or board role. The level of involvement is usually agreed upon during negotiation and should match the needs of the business and the time the investor is able to commit.

09

9. Exit

Angels eventually look to realise a return on their investment, commonly through one of these routes:

  • Acquisition of the company by another business
  • A later funding round where the investor sells some shares
  • An initial public offering, in rarer cases
  • Buyback of shares by the founders or company

Exits can take many years, and not every investment results in a successful exit. This is part of why angel investing is considered a long term, high risk activity rather than a quick way to generate returns.

Preparing for the Process

Founders who understand this sequence can prepare documentation in advance, set realistic valuation expectations, and approach conversations with investors more confidently. Investors who follow a structured process are less likely to miss important risks or commit to terms they later regret.
